IMPORTANT NOTICE REGARDING ONLINE FILING

It is very important that you select the proper business for which to file. Many business have similar names, so
you should take care to file only for the proper business when attempting to file.  

IT IS ILLEGAL TO KNOWINGLY SUBMIT A DOCUMENT OR ELECTRONIC FILING ON BEHALF OF A REGISTERED BUSINESS WITHOUT THE BUSINESS AUTHORITY TO DO SO.

Penalty for signing false document.
A person who signs or otherwise executes* a document he knows is false in any material respect with intent that the document be delivered to the Secretary of State for filing shall be subject to the penalty for false statement under at least one of the following sections:
11 V.S.A. § 3029, 11 V.S.A. § 3205, 11 V.S.A. § 3417, 11A V.S.A. § 1.29, 11B V.S.A. § 1.29, 11C V.S.A. §205.

Execution of documents. The execution of any document filed with the Secretary of State shall constitute an affirmation that the facts stated therein are true under the penalties of false statement by the person signing the document under at least one of the following sections:
11 V.S.A. §3025, §3026, §3205, §3414, §3416, 11A V.S.A. §1.20, 11B V.S.A. §1.20, or 11C V.S.A. §201, §203.

* Online filing requires electronic signature/execution. 

NOTE:  A confirmation of every online filing is delivered to each business at its email address of record. Please monitor your emails from The Secretary of State to detect and prevent fraud.
